Who these terms are between
These terms are between Paperless Integrated Solutions (Pvt) Ltd, Zimbabwe ("Paperless", "we") and the clinic, pharmacy, shop or other business that uses Paperless software and switches on one of the online services below (the "customer", "you"). They add to the agreement under which you licence Paperless; where the two differ on an online service, these terms apply to that service.
The QuickBooks Online connection
The connection sends your Paperless books to your own QuickBooks Online company. When it is switched on:
- Each journal entry Paperless posts (a sale, a consultation, a claim, a payment, a refund, an expense, goods received and so on) is sent to QuickBooks as its own record, normally within a minute: a sales receipt, an invoice, a payment, a credit note, a refund receipt, an expense, a bill or a journal entry.
- Paperless looks up, and creates where they are missing, the accounts, customers, suppliers and items those records need. Customers and suppliers are named by name and Paperless number only.
- Paperless only adds records. It never changes, voids or deletes a record in your QuickBooks company; a reversal in Paperless is sent as a record of its own.
- Amounts are sent in US dollars, at the rates Paperless used when the entry was posted; amounts taken in other currencies are noted on the record.
Your QuickBooks company and your Intuit app
- The QuickBooks Online company, its subscription and the Intuit developer app used for the connection are yours. Your use of QuickBooks Online is also governed by Intuit's own terms.
- Someone with administrator rights on your QuickBooks company connects it, and you can disconnect it at any time: from the QuickBooks page in Paperless, or from the Apps section of QuickBooks. Disconnecting stops anything more being sent; what was already sent stays in your QuickBooks company.
- You keep the logins to your QuickBooks company and your Intuit app safe, and tell us at once if you think someone else has them.
Your books stay your responsibility
- The records sent reflect what was entered in Paperless. Your accountant remains responsible for your accounting, tax and VAT treatment, for reviewing what arrives in QuickBooks and for your returns to the tax authorities.
- If QuickBooks refuses a record (for example because a period is closed or an account was made inactive), it waits, it is shown on the QuickBooks page in Paperless and reported to us, and it is sent once the cause is put right.
- Records are only as complete as the connection: while your QuickBooks company is disconnected, or sending is switched off, nothing is sent.
Availability
We run the service with care, but the internet, our hosting and Intuit's service can be unavailable at times. When a record cannot be sent it is kept and sent later; nothing in your Paperless system waits for QuickBooks. We do not promise that the service will be uninterrupted or free of errors.
Information
How we handle information, including what passes through the QuickBooks connection, is set out in our privacy policy.
Fees
Any fee for an online service is set out in your agreement or quotation with Paperless. QuickBooks Online subscriptions are paid to Intuit by you.
Liability
As far as the law allows, Paperless is not liable for indirect or consequential loss, or for loss caused by information entered incorrectly, by a third party's service (including QuickBooks Online) or by events outside our reasonable control. Our total liability for an online service is limited to the fees you paid us for that service in the twelve months before the claim.
Changes and ending
We may update these terms; the version on this page applies, and we tell customers of a change that affects them. You may stop using an online service at any time by switching it off or disconnecting it. We may suspend a service that is misused, after telling you where we can.
Law
These terms are governed by the laws of Zimbabwe.
